These Terms of Service ("Terms") govern your access to and use of the Covelight application, website, and related services (collectively, the "Service") operated by Her Own Sky LLC ("Company," "we," "us," or "our"), a Minnesota limited liability company. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
- You must be at least 18 years of age to use the Service.
- You must be a legal resident of the United States.
- You must provide accurate, current, and complete information during registration and keep your account information up to date.
- You must have the legal authority to enter into these Terms.
2. Account Registration and Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at privacy@herownsky.com if you suspect unauthorized access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
3. Description of Service
Covelight is a rent management platform that provides:
- For Landlords and Hosts: Property and unit management, tenant onboarding via invite codes, ACH rent collection, payout processing, maintenance request tracking, in-app messaging, notice templates, lease document storage, and payment reporting.
- For Tenants: Rent payment splitting into smaller deposits aligned with pay schedules, payment progress tracking, maintenance request submission, in-app messaging, lease document access, and optional credit reporting.
- For Guests (Short-Term Rentals): Booking management and trip cost splitting among multiple guests.
The Service facilitates payments between tenants and landlords but does not itself hold, lend, or guarantee funds. ACH transfers are processed by Dwolla, a licensed money transmitter. Subscription payments are processed by Stripe.
4. Fees and Billing
4.1 Landlord Subscription
- Landlords pay a monthly subscription fee of $19.99/month for up to 5 units (any combination of long-term and short-term).
- Additional units are $2.99/month per unit.
- A hard cap of $199.99/month applies regardless of the number of units.
- Subscriptions are billed monthly through Stripe. You authorize recurring charges to your payment method on file.
- Subscription fees are non-refundable except as required by applicable law.
4.2 Tenant Fees
- Core features are free for tenants. There are no fees for rent splitting, payment tracking, messaging, maintenance requests, or lease access.
- Optional credit reporting is available for $2.99/month, baked into the rent payment. This fee may be cancelled at any time.
4.3 No Hidden Fees
- There are no setup fees, per-transaction fees, or annual contracts.
- ACH transfer costs are absorbed by the Company and are not passed to landlords or tenants.
5. Payments and ACH Transfers
- By linking your bank account through Plaid and authorizing payments through the Service, you authorize Covelight and its payment processor (Dwolla) to initiate ACH debit and credit transactions to and from your linked bank account.
- Tenant rent split deposits are pulled from the tenant's bank account on scheduled dates and held in a pass-through account until rent day, at which point the full rent amount is disbursed to the landlord's linked bank account.
- Rent funds are never deposited into or commingled with Company operating funds. The Company's revenue comes solely from subscription fees.
- ACH transfers typically take 1–3 business days to process. The Company is not responsible for delays caused by banks, holidays, or the ACH network.
- If a scheduled deposit fails (e.g., insufficient funds), the system will automatically retry once after a 2-day waiting period. If the retry also fails, the deposit is marked as failed and the landlord will be notified of a potential shortfall.
- You are responsible for ensuring sufficient funds in your linked bank account on scheduled deposit dates.
6. Credit Reporting
- Credit reporting is an optional, opt-in feature available to tenants for $2.99/month.
- When opted in, on-time rent payments are reported to Experian, Equifax, and TransUnion.
- Late or missed payments are never reported to credit bureaus. Covelight uses a positive-only reporting model.
- You may opt out of credit reporting at any time from within the app. Previously reported data remains on your credit file per bureau policies.
- The Company is not responsible for how credit bureaus process, display, or use reported data.
7. Tenant Privacy
- A tenant's rent splitting schedule, deposit amounts, deposit dates, and bank account details are never visible to their landlord.
- Landlords see only whether the full rent payment was received on time, whether a shortfall exists, and the tenant's name and contact information.
- This privacy boundary is enforced at the system level and cannot be overridden by landlords.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
- Use the Service to send spam, unsolicited messages, or harassing communications.
- Upload malicious software, viruses, or harmful code.
- Scrape, crawl, or use automated means to access the Service without prior written consent.
- Create multiple accounts to circumvent restrictions, bans, or fee structures.
- Use the Service to facilitate money laundering, fraud, or any other financial crime.
9. Intellectual Property
- The Service, including its design, code, branding, logos, and content, is owned by Her Own Sky LLC and protected by copyright, trademark, and other intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
- You retain ownership of content you upload (lease documents, photos, messages). By uploading, you grant us a license to store, display, and transmit that content as necessary to provide the Service.
10. Cancellation and Termination
10.1 By You
- Landlords may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until then.
- Tenants may delete their account at any time. Active tenancies and pending payment schedules must be resolved before deletion.
10.2 By Us
- We may suspend or terminate your account for violation of these Terms, fraudulent activity, or extended inactivity (12+ months with no active tenancies or properties).
- We will provide notice of termination via email when reasonably possible.
- Upon termination, your right to use the Service ceases immediately. Financial records are retained as required by law (see Privacy Policy).
11. Disclaimers
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
- We are not a bank, money transmitter, lender, or financial advisor. We facilitate payments through licensed third-party processors.
- We do not guarantee the accuracy of credit reports or the impact of credit reporting on your credit score.
- We do not mediate landlord-tenant disputes. The Service is a tool for managing rental payments and communications — it does not create or modify any landlord-tenant legal relationship.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Her Own Sky LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
- Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to us in the 12 months preceding the claim.
- We are not liable for losses caused by failed ACH transfers, bank errors, insufficient funds, or delays in the ACH network.
- We are not liable for actions taken by third-party service providers (Plaid, Dwolla, Stripe, credit bureaus).
13. Indemnification
You agree to indemnify, defend, and hold harmless Her Own Sky LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any content you upload or transmit through the Service.
14. Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles.
- Informal Resolution: Before filing any formal dispute, you agree to contact us at privacy@herownsky.com and attempt to resolve the dispute informally for at least 30 days.
- Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Ramsey County, Minnesota.
- Class Action Waiver: You agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
- Small Claims Exception: Either party may bring qualifying claims in small claims court in Ramsey County, Minnesota.
15. Modifications to Terms
We may modify these Terms at any time. When we make material changes, we will notify you via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
16. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Her Own Sky LLC regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Force Majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, acts of government, or disruptions to the banking or ACH network.
